Terms and Conditions

These Terms and Conditions govern the training services provided by SPC Consulting Group (“SPC”) to the Client and shall apply to all confirmed training engagements unless otherwise agreed in writing.

I- In-Person Courses Terms

1. General Terms

  1. The deadline to confirm in-person courses is 15 calendar days prior to the scheduled start date. To secure and confirm the course within this period, the required 50% advance payment of the total course fee must be received and the corresponding Purchase Order must be delivered to SPC Consulting Group.
  2. For in-person courses, requests to add additional participants must be submitted no later than 10 business days prior to the scheduled service start date. Requests received after this deadline may result in participant materials and certificates being delivered digitally or shipped after completion of the course. Any related shipping charges shall be the sole responsibility of the Client.
  3. All quotations issued by SPC remain valid for 15 calendar days from the date of issuance, unless otherwise stated in writing.
  4. Service confirmation shall be completed through one or more of the following:
    • Purchase Order and 50% advance payment of the total service fee
    • Full advance payment

     5. Additionally, the client must complete and sign the following form:

    • Training Course Purchase Agreement
  1. Accepted payment methods include wire transfer and credit card payments processed through PayPal or other authorized platforms.
  2. Participant training materials are included in the quotation unless otherwise expressly stated.
  3. Requested date changes may be processed at no additional charge if SPC receives written notice at least 10 business days prior to the scheduled service date. Requests received after this deadline shall be subject to the applicable cancellation and rescheduling terms.
  4. SPC provides original participant materials intended solely for use during the training session and for personal reference purposes.

* Credit terms may be available subject to prior written approval from SPC’s Credit and Collections Department.

2. Client Site / Training Room Requirements

For in-person training services, the Client shall provide an appropriate training environment including, at minimum:

  • Multimedia projector or equivalent presentation equipment
  • Flip chart with paper and adhesive tape, or whiteboard
  • Markers in multiple colors

Failure to provide adequate facilities or required resources may affect the quality, schedule, or delivery of the training service, without liability to SPC.

3. Certificates of Completion

SPC Consulting Group may issue certificates of completion to participants who satisfy all of the following minimum requirements:

  • Attendance of at least 80% of the total scheduled training time; and
  • A passing score of 70% or higher on the final evaluation, where applicable.

Certificates shall be prepared using the participant information submitted by the Client. SPC shall not be responsible for errors resulting from incorrect, incomplete, or late information provided by the Client.

4. Cancellation and Rescheduling Policy – In-Person Courses

  1. The deadline to confirm in-person courses is 15 calendar days prior to the scheduled start date.
  2. Any cancellation or rescheduling request submitted at least 10 calendar days prior to the scheduled date shall be processed without penalty.
  3. Any cancellation or rescheduling request submitted between 3 and 9 calendar days prior to the scheduled date shall incur a charge equal to 50% of the total course fee.
  4. Any cancellation or rescheduling request submitted within 48 hours of the scheduled start time shall incur a charge equal to 100% of the total course fee. In such case, the service shall be deemed reserved and rendered for scheduling purposes, and no refund shall apply.
  5. Reactivation or rescheduling of the service shall require full settlement of any outstanding balances or issuance of a Purchase Order covering the applicable charges.
  6. Reprinting of certificates resulting from client-requested changes, participant errors, or modifications not attributable to SPC shall be subject to additional charges.

II- Online Courses Terms

1. General Terms

1. The deadline to confirm online courses is 10 calendar days prior to the scheduled start date. To secure and confirm the course within this period, the required 50% advance payment of the total course fee must be received and the corresponding Purchase Order must be delivered to SPC Consulting Group.

2. For online courses, requests to add additional participants must be submitted no later than 1 business day prior to the scheduled service start date. Requests received after this deadline may result in participant materials and certificates being delivered digitally.

3. All quotations issued by SPC remain valid for 15 calendar days from the date of issuance, unless otherwise stated in writing.

4. Service confirmation shall be completed through one or more of the following:

  •  Purchase Order and 50% advance payment of the total service fee
  • Full advance payment

  3. Any cancellation or rescheduling request submitted between 1 and 4 calendar days prior to the scheduled date shall incur a charge equal to 20% of the total course fee.
  4. Any cancellation or rescheduling request submitted on the same day of the scheduled course shall incur a charge equal to 50% of the total course fee. The service shall be deemed reserved and rendered for scheduling purposes, and no refund shall apply.
  5. Reactivation or rescheduling of the service shall require full settlement of any outstanding balances or issuance of a Purchase Order covering the applicable charges.

General Terms

Force Majeure

SPC shall not be liable for delays, rescheduling, or inability to perform services caused by events beyond its reasonable control, including but not limited to natural disasters, government actions, labor disputes, technology failures, transportation interruptions, or other unforeseen circumstances.

Limitation of Liability

To the maximum extent permitted by applicable law, SPC’s liability arising out of or related to any training service shall be limited to the amount actually paid by the Client for the specific service giving rise to the claim. SPC shall not be liable for indirect, incidental, consequential, or special damages.

Intellectual Property

All training materials, methodologies, presentations, manuals, and related content provided by SPC remain the exclusive intellectual property of SPC Consulting Group unless otherwise agreed in writing. Such materials may not be copied, distributed, reproduced, recorded, or used for commercial purposes without prior written authorization.

Entire Agreement

These Terms and Conditions, together with the quotation, purchase order, or service agreement, constitute the complete understanding between the parties regarding the services contracted.
